Agora Trades LLC (“Agora,” “we,” “us,” or “our”) provides the Agora mobile application and related services (collectively, the “Service”). By downloading, installing, or using the Service, you agree to these Terms of Service. If you do not agree, do not use the Service.
You must be at least 18 years old and able to form a binding contract to use Agora. By using the Service, you represent that you meet these requirements and that you will comply with all applicable laws.
Agora helps you create and distribute listings across third-party marketplaces such as eBay, Depop, Poshmark, Mercari, and Facebook Marketplace. You connect your accounts on those marketplaces to Agora, and Agora assists you in creating, posting, and managing listings using AI-generated content and automation tools running on your device.
Agora is a tool. We are not a party to any transaction between you and your buyers on any third-party marketplace. All sales, payments, shipping, returns, and disputes are governed by the terms of the third-party marketplace where the transaction occurs.
You are responsible for maintaining the confidentiality of your Agora account credentials and for all activity under your account. You must notify us immediately of any unauthorized access at support@agora.nyc.
When you connect a third-party marketplace account to Agora, you authorize Agora to act on your behalf on that marketplace solely to perform the functions you have requested, such as posting listings, updating inventory, and responding to buyer messages.
Your use of any third-party marketplace through Agora is subject to the terms of service, community guidelines, and listing policies of that marketplace. You are responsible for complying with those terms. Agora is not affiliated with, endorsed by, or sponsored by eBay, Depop, Poshmark, Mercari, Facebook, or any other third-party marketplace.
You retain ownership of all photos, descriptions, pricing, and other content you provide to Agora (“Your Content”). By using the Service, you grant Agora a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and distribute Your Content solely to provide the Service to you, including cross-posting it to the third-party marketplaces you select.
You are solely responsible for Your Content and for ensuring it does not violate any law, infringe on any third party’s rights, or violate the policies of any third-party marketplace.
You agree not to use Agora to list, promote, or sell any item or service that is illegal, counterfeit, stolen, recalled, hazardous, or prohibited by any applicable third-party marketplace. You also agree not to use Agora to harass, defraud, or mislead other users or buyers, to circumvent any marketplace’s fees or policies, or to reverse engineer, scrape, or otherwise misuse the Service.
Agora uses artificial intelligence to help generate listing titles, descriptions, pricing suggestions, and buyer responses. AI output may contain errors and is provided as a starting point. You are responsible for reviewing and approving any AI-generated content before it is published.
Some AI features consume credits. Credits are not redeemable for cash, do not expire unless stated otherwise, and are non-transferable. We may change credit pricing, packages, or usage rates at any time.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AGORA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY LISTING WILL RESULT IN A SALE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGORA AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID AGORA IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS.
You may stop using Agora at any time. We may suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms, harms other users or third parties, or creates legal risk for Agora. Sections 5 through 12 will survive termination.
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You and Agora both waive the right to a jury trial and to participate in a class action.
We may update these Terms from time to time. If we make material changes, we will notify you in the app or by email before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of them.
